These Terms of Service ("Terms") govern your access to and use of the Synatsis website located at synatsis.com (the "Website") and any pre-launch features such as waitlist registration or early-access enquiries (collectively, the "Services"). These Terms apply to all visitors, prospective users, and any individuals who register their interest in Synatsis (each, a "User" or "you").

Synatsis is a relationship intelligence platform purpose-built for private banking and wealth management institutions. At the date these Terms take effect, Synatsis operates a publicly accessible landing page only — no software application is available to the general public. These Terms will be updated when a full product is launched.

Pre-Launch Scope

Synatsis has not yet launched a commercial software product. These Terms govern your use of the Website and any interest-registration or early-access features only. Separate terms will apply when a subscription or product is made available.

1. Acceptance of Terms

By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, please discontinue use of the Website immediately.

If you are accessing the Website on behalf of a company, partnership, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" include that entity.

You must be at least 18 years of age to use the Website or submit any registration of interest. By using the Website, you confirm that you meet this requirement.

3. Registration of Interest & Early Access

If you submit your contact details via a waitlist, early-access, or enquiry form on the Website, you agree to the following:

  • You will provide accurate, current, and complete information
  • Submission of your details does not guarantee access to the Synatsis platform or any product feature
  • Synatsis may use your contact details to send you updates about the platform, subject to our Privacy Policy and applicable anti-spam laws
  • You may withdraw your registration at any time by contacting us at legal@synatsis.com

At this stage, Synatsis does not issue individual user accounts. Full account registration and associated terms will be provided when the platform is commercially launched.

4. Fees & Pricing

No fees are currently charged for accessing the Website or submitting a registration of interest. Synatsis does not collect payment information through the Website at this time.

When Synatsis launches a commercial product, separate subscription terms, pricing, billing, and refund policies will be published and will apply. Users who have registered interest will be notified when pricing information is available.

5. Acceptable Use Policy

By using the Website, you agree not to:

  • Use the Website for any unlawful purpose or in violation of any applicable law or regulation
  • Submit false, misleading, or fraudulent information in any registration or enquiry form
  • Attempt to gain unauthorised access to any part of the Website, its servers, or related systems

Synatsis reserves the right to restrict or terminate access to the Website for any User who violates this Acceptable Use Policy, without prior notice.

6. Intellectual Property

6.1 Ownership

All content on the Website — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software — is the property of Synatsis or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. The Synatsis name, logo, and related marks are trademarks of Synatsis.

6.2 Limited Licence to Users

Synatsis grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website solely for personal, non-commercial purposes in accordance with these Terms. This licence does not include the right to:

  • Reproduce, distribute, or publicly display Website content without prior written consent
  • Create derivative works based on Website content
  • Use any data mining or similar data gathering tools on the Website
  • Frame or mirror any portion of the Website without Synatsis's express written consent

6.3 User Submissions

If you submit any content, feedback, or suggestions to Synatsis through the Website (including via contact or enquiry forms), you grant Synatsis a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, and incorporate such feedback for product development and business purposes, without any obligation to compensate you. You retain ownership of your submitted content.

7. Privacy & Data

Your use of the Website is subject to our Privacy Policy, which is available at synatsis.com/privacy and is incorporated into these Terms by reference. By using the Website, you consent to the collection and use of your information as described in the Privacy Policy.

Synatsis is incorporated and operates in the Philippines. Personal data submitted through the Website is processed in accordance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules, as well as any other applicable data protection laws.

Philippines — Data Privacy Act 2012 (RA 10173)

Synatsis processes personal data in compliance with RA 10173. Users located in the Philippines have rights of access, correction, and erasure in respect of their personal data. Contact legal@synatsis.com to exercise these rights.

EU/EEA — GDPR Notice

9. Disclaimer of Warranties

Synatsis does not warrant that:

Fintech / Wealth Management Disclaimer

Synatsis is a technology platform provider, not a licensed financial institution, investment manager, or financial adviser in any jurisdiction. Nothing on this Website constitutes regulated financial advice, an offer of securities, or solicitation of investment. Prospective institutional clients should conduct their own due diligence.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYNATSIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE, EVEN IF SYNATSIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SYNATSIS'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD 100), OR THE EQUIVALENT IN LOCAL CURRENCY.

Jurisdiction Note — Consumer Protections

Certain jurisdictions do not allow the exclusion of implied warranties or limitation of certain damages. If you reside in the Philippines, EU/EEA, or another jurisdiction where such exclusions are restricted, some of the above limitations may not apply to you. In such cases, Synatsis's liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Synatsis and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with:

  • Your access to or use of the Website
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any false or inaccurate information you have provided to Synatsis

12. Term & Termination

These Terms remain in effect for as long as you use the Website. Synatsis may, at its sole discretion and without prior notice, restrict, suspend, or terminate your access to the Website if you breach these Terms or for any other legitimate business reason.

Upon termination of access, Sections 6 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) shall survive and remain in full force and effect.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law principles.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding their existence, validity, or termination — shall be resolved through good-faith negotiations between the parties. If the parties are unable to resolve a dispute within thirty (30) days of written notice, the matter shall be submitted to mediation administered by the Philippine Mediation Center under the rules then in effect.

If mediation fails, the dispute shall be submitted to binding arbitration before the Philippine Dispute Resolution Center, Inc. (PDRCI), in accordance with its Arbitration Rules, with proceedings conducted in English in Makati City, Philippines.

International Users — Dispute Notice

If you are located in the EU/EEA, UK, Singapore, or another jurisdiction with mandatory consumer dispute resolution rights, nothing in this Section limits your right to bring claims before a competent court or regulatory body in your home jurisdiction.

14. Changes to These Terms

Synatsis reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of these Terms and, where reasonably practicable, by notifying registered interest holders via email at least thirty (30) days before the changes take effect.

Your continued use of the Website after updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Website.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Synatsis regarding the Website and supersede all prior agreements, representations, and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force.

15.3 No Waiver

Synatsis's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Force Majeure

Synatsis shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, government action, telecommunications failures, or power outages.

15.5 Assignment

Synatsis may assign its rights and obligations under these Terms without your consent in connection with a merger, acquisition, or sale of substantially all of its assets. You may not assign your rights or obligations under these Terms without Synatsis's prior written consent.

Annex A — Philippines Supplemental (Data Privacy Act 2012, RA 10173)

This Annex applies to Users located in the Republic of the Philippines.

A.1 Data Privacy Act Compliance

Synatsis complies with the Philippine Data Privacy Act of 2012 (RA 10173) and its implementing rules and regulations as promulgated by the National Privacy Commission (NPC). Personal information collected via the Website may include your name, email address, company, and professional role.

A.2 User Rights

Philippine users have the following rights under RA 10173:

  • Right to be informed of how personal data is processed
  • Right to access personal data held by Synatsis
  • Right to correct inaccurate personal data
  • Right to erasure or blocking of personal data in specified circumstances
  • Right to data portability (once technically feasible)

Annex B — EU/EEA Supplemental (GDPR)

This Annex applies to Users located in the European Union or European Economic Area.

Annex C — Singapore Supplemental (PDPA 2012, as amended)

This Annex applies to Users located in Singapore.

Synatsis collects and processes personal data from Singapore-based users in accordance with the Personal Data Protection Act 2012 (PDPA), as amended by the Personal Data Protection (Amendment) Act 2020.

C.1 Purpose Limitation

Personal data is collected for the purpose of communicating about the Synatsis platform, responding to enquiries, and — with your consent — sending marketing updates. Data will not be used for purposes inconsistent with those notified at the time of collection.

C.2 Access & Correction

Singapore users may request access to or correction of their personal data held by Synatsis by contacting legal@synatsis.com. Synatsis will respond within thirty (30) days.

C.3 Do Not Call Registry

Synatsis will comply with Singapore's Do Not Call (DNC) Registry provisions and will not send marketing messages to registered DNC numbers without consent.
